Terms of service

  1. Introduction: These terms of service (the "Agreement") govern the relationship between Hridaya Jaiswal (the "Designer") and the client (the "Client") regarding the provision of design services by the Designer to the Client. By accepting these terms, the Client agrees to be bound by the terms of this Agreement.

  2. Description of Services: The Designer agrees to provide the Client with the design services described in the attached proposal or as otherwise agreed upon by both parties. The Designer will work with the Client to determine the scope and requirements of the project and will provide the Client with drafts and revisions until the final design is approved by the Client.

  3. Payment Terms: The Client agrees to pay the Designer the fees outlined in the attached proposal or as otherwise agreed upon by both parties. The Designer reserves the right to halt work if payment is not received as outlined in the proposal or agreement.

  4. Intellectual Property: The Designer retains all rights, title, and interest in and to the design created by the Designer unless otherwise agreed upon in writing. The Client agrees to use the design only in accordance with the terms of this Agreement and any other agreements between the Client and the Designer.

  5. Confidentiality: The Designer agrees to keep confidential all information and materials provided by the Client, and to use such information and materials only for the purpose of providing design services to the Client.

  6. Termination: Either party may terminate this Agreement at any time upon written notice to the other party. Upon termination, the Designer will cease providing design services to the Client, and the Client will immediately pay any outstanding fees owed to the Designer.

  7. Limitation of Liability: The Designer will not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with this Agreement, even if the Designer has been advised of the possibility of such damages.

  8. Dispute Resolution: Any dispute arising out of or relating to this Agreement will be resolved through binding arbitration in accordance with the commercial arbitration rules of Indian Constitution. The arbitration will be conducted in New Delhi, India.

  9. Governing Law: This Agreement will be governed by and construed in accordance with the laws of [state/province].

  10. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties. This Agreement may not be amended except in writing signed by both parties.

By accepting these terms, the Client agrees to be bound by the terms of this Agreement.
